4. Payment Terms

4.1 Pricing and Invoicing

All pricing will be agreed upon in writing before order confirmation. Shivam reserves the right to modify pricing for changes in market conditions or order specifications.

4.2 Payment Schedule

Payment terms will be specified in the project agreement and may include:

• Upfront payment for project initiation
• Milestone-based payments
• Final payment upon project completion

Late Payments

Late payments may incur additional charges as specified in the agreement. Shivam reserves the right to suspend deliveries for overdue payments.

5. Intellectual Property Rights

5.1 Client Ownership

Upon full payment, clients will own the final deliverables created specifically for their project, unless otherwise specified in the project agreement.

5.2 Shivam Rights

Shivam retains rights to:

• Pre-existing intellectual property and methodologies
• General knowledge and skills developed during the project
• Portfolio use of successful trades (with client permission)

5.3 Third-Party Components

Any third-party components, libraries, or software used in projects will be subject to their respective licenses and terms.

6. Confidentiality

Shivam is committed to maintaining the confidentiality of all client information and order details. We will not disclose confidential information to third parties without written consent, except as required by law.

7. Limitation of Liability

To the maximum extent permitted by law, Shivam shall not be liable for any indirect, incidental, special, or consequential damages arising from our services. Our total liability shall not exceed the total amount paid by the client for the specific order.

8. Warranty and Support

8.1 Warranty Period

Shivam provides a quality guarantee for all products as specified in the agreement.

Support Services

Customer support and maintenance services are available as part of our trading solutions. Support terms will be outlined in the customer agreement.

9. Order Modifications

Any changes to the order scope, or specifications must be agreed upon in writing. Additional requirements may result in additional charges and timeline adjustments.

10. Termination

10.1 Termination by Client

Clients may cancel orders with written notice. Payment for processed orders and incurred expenses will be due upon termination.

Termination by Shivam

We reserve the right to terminate services for:

• Non-payment of fees
• Breach of contract terms
• Unreasonable client demands
• Force majeure circumstances

11. Force Majeure

Shivam shall not be liable for delays or failures in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, or logistical failures.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Rajasthan, India.
